Terms & Conditions

HALO THEORY MUSIC GROUP, LLC (“Label,” “we,” “us,” or “our”)

Effective Date: 19 June 2026

1. Acceptance of Terms

By submitting music, creating an account, or using any services provided by the Label’s website or platforms (“Services”), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. If you are under 18, you may only use the Services with verified parental or guardian consent.

3. Artist Submissions

3.1 You may submit audio recordings, compositions, artwork, and related materials (“Content”) to the Label for consideration.
3.2 By submitting Content, you confirm that:

  • You own or control all necessary rights.

  • Your Content does not infringe any third-party rights.

  • You have obtained all required permissions (samples, features, etc.).

3.3 Submission does not guarantee acceptance, signing, or release.

4. Rights & Licensing

4.1 If the Label accepts your Content, you may enter into a separate written agreement outlining specific rights.
4.2 Unless otherwise agreed in writing:

  • You retain ownership of your master recordings.

  • You grant the Label a non-exclusive license to use submitted Content for evaluation, promotion, and distribution discussions.

4.3 Any commercial release will be governed by a separate recording, distribution, or licensing agreement.

5. Revenue & Royalties

5.1 Revenue splits, royalties, and payment terms will be defined in a separate contract per release or artist agreement.
5.2 The Label is not obligated to pay royalties for Content not officially released under a signed agreement.

6. Content Standards

You agree not to submit Content that:

  • Infringes copyright, trademark, or privacy rights

  • Contains hate speech, illegal content, or explicit illegal activity

  • Includes unauthorized samples or stolen material

We reserve the right to remove or reject any Content at our discretion.

7. Distribution & Promotion

7.1 The Label may distribute approved music through digital platforms (e.g., streaming services, stores).
7.2 Promotional use may include social media, advertisements, and press materials unless otherwise restricted in a signed agreement.

8. Intellectual Property

8.1 All Label branding, website content, logos, and materials remain the property of the Label.
8.2 Artists retain ownership of their original works unless otherwise agreed in writing.

9. Account Termination

We may suspend or terminate access to our Services if:

  • You breach these Terms

  • You provide false information

  • Your Content violates laws or third-party rights

You may also request account deletion at any time.

10. Disclaimer

Our Services are provided “as is” and “as available.” We make no guarantees regarding:

  • Acceptance of submissions

  • Commercial success

  • Platform availability or uninterrupted service

11. Limitation of Liability

To the maximum extent permitted by law, the Label is not liable for any indirect, incidental, or consequential damages arising from your use of the Services.

12. Indemnification

You agree to indemnify and hold harmless the Label from any claims, damages, or expenses resulting from:

  • Your Content

  • Your breach of these Terms

  • Violation of third-party rights

13. Third-Party Platforms

We may use third-party services (e.g., streaming platforms, distributors, payment processors). We are not responsible for their terms, performance, or policies.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of [Insert State/Country], without regard to conflict of law principles.
